Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Gated Greens ("Gated Greens," "we," "us," or "our") and govern your access to and use of the Gated Greens website at gatedgreens.com, our mobile and web applications, and all related services (collectively, the "Platform"). By creating an account, booking or hosting an experience, or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. What Gated Greens Is — and Is Not

Gated Greens is an online marketplace and technology platform that helps verified guests connect with members of private golf and country clubs ("Members" or "Hosts") who choose to host them for short-term experiences such as golf, dining, and social events ("Experiences").

Gated Greens is a neutral intermediary. We do not own, operate, manage, or control any club, course, or venue. We do not employ Hosts, and Hosts are not our agents. We do not provide golf, dining, hospitality, transportation, alcohol, or any other underlying service. We do not promise, guarantee, or warrant access to any club, and access is always subject to a Member's availability, eligibility, and discretion, and to the rules of the club. Any contract for an Experience is formed directly between the Guest and the hosting Member; Gated Greens is not a party to that contract.

When we describe the Platform, we mean: "connect with Members who can host you" — not "we provide access to private clubs."

2. Eligibility and Age Requirement

To use the Platform you must:

  • Be at least 21 years of age. Twenty-one is the minimum hosting and guest age across our launch markets, and it is required for any Experience that includes alcohol. We verify age through government-issued identity verification.
  • Have the legal capacity to enter into a binding contract.
  • Complete the verification steps applicable to your role (see Section 4).
  • Provide accurate, current, and complete information and keep it up to date.

We currently operate in Ohio, Michigan, Indiana, Illinois, and Kentucky and may expand or limit availability by location at our discretion.

3. Accounts

You are responsible for safeguarding your account credentials and for all activity under your account. Notify us immediately at support@gatedgreens.com if you suspect unauthorized use. We may suspend, restrict, or terminate accounts that violate these Terms, present a safety or fraud risk, or as otherwise described in Section 14.

4. Verification and Vetting

Trust is the core of the Platform. To protect Members, Guests, and clubs, Guests complete a multi-step verification process which may include: account creation, government-issued identity verification, a background check, a personal profile, golf handicap verification (GHIN), professional verification, an optional personality assessment, and acceptance of our community standards.

You authorize us and our verification partners (see Section 11) to collect and process the information necessary to complete these checks. Verification results may affect your eligibility and your level of access ("graduated access"). We apply standardized, non-discriminatory criteria and reserve the right to approve, decline, limit, or revoke access at our discretion, consistent with applicable law. Professional and social-network information is used only to confirm identity, never to score, rank, or price you.

Verification reduces but does not eliminate risk. We do not guarantee the identity, conduct, fitness, or safety of any user.

5. Host (Member) Responsibilities and Club Rules

If you host as a Member, you represent and agree that:

  • You are a member in good standing of the club where you offer Experiences and are authorized to bring guests under your membership.
  • You have reviewed your club's membership agreement and guest policies — including per-guest visit caps (commonly 5–7 visits per guest per year), accompaniment requirements (you generally must physically accompany your guest, especially on the golf course), and any prohibition on commercial guest-sharing — and your use of the Platform does not violate them.
  • You understand that Gated Greens does not warrant that hosting through the Platform is permitted under your membership agreement, and that your club may impose discipline (up to and including membership revocation or forfeiture of equity) if it disapproves. You accept this risk and agree to comply with all club rules.
  • You are personally responsible to your club for your guest's conduct, charges, and compliance, exactly as you would be for any guest.
  • You will not use club names, logos, photographs, or proprietary course information in a way that infringes the club's rights; you grant us only the rights to content you are permitted to share.

This Section reflects a platform duty to warn you of potential conflicts with your club agreement. The decision to host, and responsibility for that decision, is yours.

6. Guest Responsibilities

As a Guest you agree to: follow all club rules, dress codes, and your Host's instructions; remain accompanied where required; treat club property and staff with respect; not engage in any commercial activity on club premises; and comply with all applicable laws. You are responsible for charges you incur at the club that are not collected through the Platform (e.g., food and beverage, cart, or pro-shop charges), which are settled directly with the club or Host.

7. Fees, Payments, and Payouts

  • Service fee. For Guest-paid bookings, the Guest pays the Experience price plus a 15% service fee. The hosting Member receives 85% of the Experience price.
  • Coordination fee. For Member-paid (coordination) bookings, a flat coordination fee applies as disclosed at checkout.
  • Membership dues. Certain Guest tiers require annual dues, disclosed before you pay (founders and standard rates apply; see checkout for current amounts).
  • Club charges. Club guest fees, food and beverage, cart fees, and similar charges are settled separately between the Guest, Member, and club. Gated Greens does not process or guarantee those charges.

All fees are disclosed before you complete a transaction. Payments and payouts are processed by Stripe, including Stripe Connect for Member payouts. By transacting, you also agree to Stripe's applicable terms. Stripe — not Gated Greens — acts as the payment processor and licensed money transmitter, and Stripe (or the relevant Member) is responsible for any tax-reporting documents such as Form 1099-K. You are responsible for your own taxes.

8. Cancellations and Refunds

Cancellation and refund terms for each Experience are disclosed at booking and form part of your agreement. If an Experience cannot be fulfilled (for example, the Host becomes unavailable or the club denies access), we will work in good faith to rebook you or facilitate a refund of amounts collected through the Platform in accordance with the stated policy. Refunds of Platform-collected amounts are issued through Stripe to your original payment method.

9. Host Anonymity

To protect Members' privacy, a Host's real name, photograph, contact details, and biography are hidden from a Guest until both (a) the Guest's payment is confirmed and (b) any required post-booking profile step is complete. Before that point, Guests see only trust signals such as rating, review count, tenure, and badges. The sole exception is our Network Experience Discovery feature, where both parties expressly opt in to mutual visibility. We may keep a Host anonymous even after payment where necessary for safety or at the Host's request.

10. Insurance, Liability, and Damages

Experiences may be covered by per-booking liability protection and may require a refundable security-deposit hold, as disclosed at booking. You agree to cooperate with any damage-claim process. Members may pursue Guests for damage to club property caused by the Guest, consistent with the club's rules and applicable damage-protection terms.

11. Third-Party Services and Content

The Platform integrates third-party services to verify users, process payments, and operate the Platform, including: Stripe (payments and payouts), Didit (identity verification), Checkr (background checks), the USGA / GHIN (golf handicap data), Coresignal/LinkedIn (professional identity verification only), and our analytics, error-monitoring, and email providers. Your use of features powered by these services may be subject to the providers' own terms, and you authorize the data sharing described in our Privacy Policy. We are not responsible for third-party services, and Hosts, Guests, and clubs are not under our control.

12. Prohibited Conduct

You agree not to: violate any law, club rule, or these Terms; misrepresent your identity, eligibility, or verification status; circumvent fees, verification, or the Host-anonymity controls; harass, discriminate against, endanger, or defraud any person; use the Platform for commercial guest-sharing your club prohibits; collect or scrape data without authorization; sell or serve alcohol or controlled substances (alcohol is served only under the club's own license, and cannabis is prohibited on the Platform); or interfere with the Platform's operation or security.

13. Intellectual Property; Your Content

The Platform, including our software, design, and trademarks, is owned by Gated Greens and protected by law. You retain ownership of content you submit (such as profile details, photos, and reviews) and grant us a worldwide, non-exclusive, royalty-free license to host, display, and use that content to operate and promote the Platform. You are responsible for ensuring you have the rights to any content you submit, including any club-related information.

14. Suspension and Termination

We may suspend or terminate your access at any time, with or without notice, for violation of these Terms, risk to users or clubs, suspected fraud, or as required by law. You may stop using the Platform and request account deletion at any time as described in the Privacy Policy. Sections that by their nature should survive termination (including Sections 7, 10, 13, 15, 16, and 17) will survive.

15. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant access to any club, the conduct or safety of any user, or that the Platform will be uninterrupted or error-free. Gated Greens is a venue that connects users; it does not provide the underlying Experiences and makes no service guarantees.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GATED GREENS AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING FROM YOUR USE OF THE PLATFORM, ANY EXPERIENCE, OR THE CONDUCT OF ANY USER OR CLUB. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID TO GATED GREENS IN THE 12 MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS (USD $100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

17. Indemnification

You agree to indemnify and hold harmless Gated Greens from any claim, loss, or expense (including reasonable attorneys' fees) arising from your use of the Platform, your Experiences, your violation of these Terms or any law, your violation of a club's rules or your membership agreement, or your infringement of any third-party right.

18. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-laws rules. Subject to any non-waivable rights you have under applicable consumer-protection law, you and Gated Greens agree to resolve disputes in the state or federal courts located in Franklin County, Ohio, and consent to their jurisdiction. Nothing in these Terms limits rights you may have under the Ohio Consumer Sales Practices Act or other applicable consumer-protection statutes.

19. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a new "Last Updated" date and, for material changes, provide reasonable notice. Your continued use of the Platform after changes take effect constitutes acceptance.

Gated Greens is a marketplace that connects verified guests with private-club members who choose to host them. We are not a club, and we do not provide the underlying experiences. Access is always subject to member availability and club rules.
